Setting up company formation in Rome starts with choosing the right legal structure. For foreign founders and non-residents, the Italian SRL (Società a Responsabilità Limitata) is the most practical vehicle: limited liability, flexible governance, and a minimum capital as low as €1. Our local team handles the full incorporation process from our Rome office.

Why Form Your Company in Rome?

Rome offers strategic advantages that set it apart from other Italian cities. For businesses targeting the public sector, international organisations, or Italy's cultural economy, the capital is an obvious base.

Key reasons to register an SRL in Rome:

  • National ministry proximity. MIMIT (industry), MEF (finance), and MFA (foreign affairs) are all headquartered in Rome. Public procurement, regulatory lobbying, and government contracting are centred here.
  • International organisation hub. FAO, WFP, and IFAD all have headquarters in Rome, making it the natural home for companies in agri-food, sustainability, humanitarian supply chains, and international development consulting.
  • Cultural and creative sector strength. Rome is a major centre for media, film and cultural production. The Registro delle Imprese has a dedicated special section for cultural and creative enterprises (imprese culturali e creative), handled by the Camera di Commercio di Roma for companies in these fields.
  • Tourism and hospitality ecosystem. Rome attracts 15+ million tourists annually. Hospitality, food and beverage, and travel-related services are among the most active sectors for new SRL formations.
  • Professional services demand. Law firms, consulting practices, and financial advisory firms benefit from proximity to national institutions and the EU diplomatic corps.

Capital Options for Your Rome SRL

All three capital routes available under Italian law apply equally in Rome. The table below summarizes the options. For a full discussion of each structure, see the guide to company formation in Italy and the Italian SRL overview.

The Rome Formation Process, Step by Step

The legal steps for incorporating an SRL are the same across Italy. What makes Rome distinctive is the local registry (Camera di Commercio di Roma), the SARI online guidance service, and the optional Bando Nuove Imprese 2026 contribution. For the complete national process, see the full step-by-step incorporation guide.

  1. Obtain Codice Fiscale for all founders and directors. Required before notarization. Obtainable through an Italian consulate or Agenzia delle Entrate.
  2. Draft bylaws (statuto) and deed (atto costitutivo) with a notary. Allow 2–5 working days.
  3. Arrange the capital payment. At signing, the required capital is paid to the directors named in the deed, which records the means of payment (Art. 2464 CC); no bank deposit certificate is needed.
  4. Execute the notarial public deed before any registered Italian notary. A Rome-based notary is not legally required; any Italian notary may execute the deed.
  5. Notary deposits the deed with Registro Imprese Roma within 10 days (Art. 2330 §1 CC).
  6. Camera di Commercio di Roma issues the registration (iscrizione) within 5 days of the notary's electronic deposit (Art. 11(8) DPR 581/1995).
  7. Obtain Partita IVA via Comunicazione Unica (form AA7/10). The codice fiscale and Partita IVA are communicated immediately once the Comunicazione Unica is filed (Art. 9(4) D.L. 7/2007).
  8. Register a PEC (certified email) address for the company and a personal PEC for the sole director or managing director (or, failing one, the chair of the board) (Art. 5(1) D.L. 179/2012, as amended by Law 207/2024 and Art. 13 D.L. 159/2025), and set up SdI e-invoicing. E-invoicing via SdI has been mandatory since 1 Jan 2019, and since 1 Jan 2024 also for all flat-rate taxpayers.
  9. Claim the Bando Nuove Imprese 2026 contribution (optional). The Camera di Commercio di Roma covers up to €2,500 (net of VAT) of the cost of formation support services; the application is made before incorporation through an authorised implementing body and the contribution is paid after registration. See the section below for details.

After the deed is signed, the notary files it within 10 days, the registry registers an electronic filing within 5 days, and the Partita IVA is communicated immediately once the Comunicazione Unica is filed; the bank account and the Codice Fiscale for non-resident founders usually decide the overall calendar.

Our Rome team coordinates every filing step, from Codice Fiscale to Partita IVA. Contact our Rome office.

Camera di Commercio di Roma, Local Registration and Grants

The Camera di Commercio di Roma is the chamber of commerce for Rome and its province. It administers the local Registro delle Imprese (the official business register), collects the annual Diritto Camerale, and manages grant and support programs for newly incorporated companies.

The Camera di Commercio di Roma links to SARI (Supporto Specialistico Registro Imprese), the national online guidance service of the Italian chambers of commerce (InfoCamere), available since 26 May 2022. SARI gives founders and their representatives free step-by-step information sheets for preparing electronic Registro Imprese filings.

For companies in creative sectors, the Registro Imprese has a dedicated "Imprese culturali e creative" special section. This is relevant for media production, architecture studios, design agencies, and film companies seeking registry visibility in their sector.

Bando Nuove Imprese 2026 The Camera di Commercio di Roma approved this program on 19 February 2026. It covers up to €2,500 (net of VAT) per entrepreneur toward the cost of formation support services provided by authorised implementing bodies. Total fund: €750,000, available until exhausted and in any case no later than 31 December 2026. Twenty-five percent of the fund is reserved for youth enterprises (majority held and managed by people up to age 35). Aspiring entrepreneurs apply before incorporation; the contribution is paid only after the company is registered.

Our Rome office can coordinate with an implementing body on the Bando Nuove Imprese 2026 application before your SRL is registered. Contact us.

Forming a Rome SRL as a Non-Resident or Foreign Founder

Foreign founders do not need to be present in Italy to form an SRL in Rome. The process accommodates non-residents through a power of attorney and remote document handling.

Key points for non-resident founders:

  • Physical presence is not required. A founder who cannot attend the notarization may grant a notarized power of attorney (PoA) to a local representative. The PoA can be executed in the founder's home country and apostilled before being sent to Italy.
  • Codice Fiscale is required. All founders and directors must obtain an Italian tax identification number (Codice Fiscale) before the notarial deed can be executed. This can be obtained through an Italian consulate abroad or via Agenzia delle Entrate.
  • Non-EU founders: condizione di reciprocità applies. Under Art. 16 Preleggi, Italy grants rights to foreign nationals whose home country grants equivalent rights to Italians. US nationals qualify: the Foreign Ministry, which assesses reciprocity country by country, records no particular barriers for Italians forming companies or holding corporate offices in the US. EU citizens are exempt from this requirement.

For the complete guide on incorporating as a foreign founder, see forming an SRL as a non-resident.

Yes, subject to the condizione di reciprocità (Art. 16 Preleggi): Italy grants rights to foreign nationals whose home country grants equivalent rights to Italians. US nationals qualify: the Foreign Ministry, which assesses reciprocity country by country, records no particular barriers for Italians forming companies or holding corporate offices in the US. A Codice Fiscale is required for all founders and directors before incorporation can proceed.

No. Any registered Italian notary may execute the atto costitutivo and statuto, regardless of their location. Choosing a notary in Rome is practical if you or your representative are present there, but it is not a legal requirement under Italian law.

After notarization, the notary has 10 days to file with Registro Imprese Roma (Art. 2330 §1 CC); the Camera di Commercio di Roma then registers an electronic filing within 5 days. Pre-formation steps (Codice Fiscale, apostilled power of attorney) come before the deed, and opening the corporate bank account after registration often decides the overall calendar.

The minimum is €1 (Art. 2463 §4 CC), but €10,000 is the standard and is strongly recommended for credibility with banks and clients. A single-member SRL must deposit 100% of capital at formation; a multi-member SRL deposits at least 25% of cash contributions at formation, with the remainder paid in as provided in the deed (Art. 2464 CC).
