Setting up a company in Florence, Italy means working with the Camera di Commercio della Città Metropolitana di Firenze, one of Italy's most active provincial chambers for fashion, artisan manufacturing, and agri-food businesses. The standard vehicle for foreign founders is the Italian SRL (Società a responsabilità limitata), which offers limited liability, flexible governance, and a minimum share capital of €1. Our Florence office at Via Cavour 22, 50129 Firenze FI, Italy handles the full process from notarial deed to Partita IVA registration.

Why Florence for Your Italian Company?

Florence, Italy is one of the country's strongest regional economies for several internationally recognised sectors. Choosing Florence as your company's registered seat connects you to supplier networks, trade channels, and regulatory bodies built around these industries.

Fashion and leather goods. The Scandicci district, immediately west of Florence, hosts ateliers and suppliers for major luxury brands. An SRL registered in Florence gives direct access to this ecosystem for founders in fashion design, leather manufacturing, and accessories.

Tourism and hospitality. Florence attracts significant international visitor numbers year-round. SRLs providing hospitality, travel services, accommodation management, or tour operations benefit from the city's established tourism infrastructure and the reduced 10% IVA rate that applies to most hospitality services.

Artisan manufacturing. The Florentine tradition of artisan craft (jewelry, ceramics, leatherwork, restoration) is supported by a dedicated regulatory framework: the Albo delle Imprese Artigiane. SRLs in artisan production must register with this body in addition to the standard Registro delle Imprese.

Wine and agri-food. Tuscany is home to some of Italy's most recognised DOCG appellations: Chianti, Brunello di Montalcino, and Vernaccia di San Gimignano. SRLs producing or distributing DOCG wines face additional requirements under the national control system for protected wine denominations.

On tax, the standard national IRAP rate is 3.9%. Regions may vary it by up to 0.92 percentage points, and regions under health-deficit recovery plans apply further increases (up to 4.97% in 2026); Tuscany applies the ordinary rate of 3.9% for 2026.

Non-EU founders are subject to the condizione di reciprocità under Art. 16 Preleggi. EU citizens are exempt. US citizens meet the condition: the Foreign Ministry, which assesses reciprocity country by country, records no particular barriers for Italians forming companies, holding corporate offices or acquiring quotas in the US.

Remote Formation via Power of Attorney

A non-resident founder who cannot travel to Italy can grant a Power of Attorney (Procura Speciale) to a local representative. The PoA must be notarized by a notary in the founder's home country and apostilled (or consular-legalized for countries outside the Hague Apostille Convention). The Florence notary then executes the deed on the founder's behalf.

Typical PoA notarization cost: €200–€500. Apostille per document: €50–€300. Sworn translation per page: €30–€80. For a full guide, see forming an SRL as a non-resident.

Florence-Specific Regulatory Items

The sections below cover the regulatory items that matter most for the sectors common in Florence and Tuscany.

ATECO 2025 Business Activity Classification

ATECO 2025 is Italy's updated business activity classification system, mandatory from 1 April 2025. All SRLs registered with the Camera di Commercio Firenze after that date must use ATECO 2025 codes. The new scheme replaces ATECO 2022. ATECO 2025 is especially relevant for artisan, food, and wine businesses: the code assigned directly affects INPS contribution categories and, in some cases, licensing eligibility.

Artisan Register (Albo delle Imprese Artigiane)

An SRL whose primary activity is artisan production must register with the Albo delle Imprese Artigiane in addition to the standard Registro delle Imprese. This dual-registration requirement applies to companies engaged in:

  • Leather goods manufacturing
  • Artisan food production
  • Artisan restoration (furniture, artwork, architecture)
  • Jewelry and goldsmithing

Under Art. 3 of Law 443/1985, an SRL qualifies as an artisan enterprise when the majority of its members (one of the two, in a two-member company) personally perform the work in the production process and the work prevails over the capital. A single-member SRL qualifies when the sole member meets the personal requirements of Art. 2 of the same law and is not the sole member of another SRL.

Director PEC (Certified Email) Obligation

Italian law requires the sole director (amministratore unico) or managing director (amministratore delegato) of an SRL, or the chair of the board if there is no managing director, to register a personal PEC (posta elettronica certificata) address with the Registro delle Imprese; it cannot be the same as the company's PEC. Under Art. 5(1) of D.L. 179/2012, as amended by Law 207/2024 and by D.L. 159/2025 Art. 13 (in force from 31 October 2025), the PEC is given with the registration application when the company is formed or the appointment is made or renewed. Companies already registered had to communicate it by 31 December 2025. Directors who administer the SRL jointly or severally (Art. 2475(3) CC) are not covered. This applies Italy-wide, including all SRLs registered in Florence.

Agri-Food and DOCG Wine Licensing in Tuscany

SRLs producing or bottling wine under a Tuscany DOCG appellation (Chianti, Brunello di Montalcino, or Vernaccia di San Gimignano) must complete additional steps beyond standard SRL formation. Operators are entered in the denomination's control system and checked each year by a control body authorised by the Ministry of Agriculture (Art. 64 of Law 238/2016), and DOCG wine must pass chemical-physical and organoleptic testing before it is designated (Art. 65). The consorzio di tutela is formed among operators already in the control system and acts for its own members (Art. 41).

FAQ

Frequently asked questions

Yes. A non-resident founder can grant a Power of Attorney (Procura Speciale) to a local representative. The PoA must be notarized in the founder's home country and apostilled (or consular-legalized for non-Hague countries). The Florence notary then executes the notarial deed on the founder's behalf.

It is the local body administering the Registro delle Imprese for Florence province. When you form an SRL in Florence, the notary deposits the deed here within 10 days. The Chamber issues the company's registration certificate, manages ATECO code assignment, and since April 2025 applies ATECO 2025 classification.

Once the notarial deed is signed, the notary files it within 10 days and the Registro delle Imprese registers an electronic filing within 5 days. For a non-resident founder, the whole process to an operational company typically takes 4–8 weeks, including preparing and apostilling the Power of Attorney and opening the bank account.

Florence has recognised strengths in fashion and leather goods (the Scandicci district hosts major luxury ateliers), tourism and hospitality, artisan manufacturing (jewelry, ceramics, restoration), and wine and agri-food (Chianti, Brunello, Vernaccia DOCG appellations). These sectors benefit from local supplier networks and Tuscany's established export infrastructure.

The Artisan Register is a separate provincial list for companies whose primary activity is artisan production. If your SRL manufactures leather goods, conducts artisan food production, or performs artisan restoration, you must dual-register with the Albo alongside the Registro delle Imprese. The majority of the members (or the sole member) must personally work in production.

For most foreign founders, the SRL is the appropriate choice. Only natural persons can form an SRLS (Art. 2463-bis CC), which excludes foreign holding companies as founders; a quota later transferred to a company turns the SRLS into an ordinary SRL. SRLS also uses inderogable standard bylaws that limit flexibility. The SRL offers full structural flexibility and accommodates both individual and corporate shareholders.

ATECO 2025 is Italy's updated business activity classification, mandatory from 1 April 2025. All new SRLs registered with the Camera di Commercio Firenze after that date must select codes under the new scheme. This is particularly relevant for artisan, food, and wine businesses where the classification directly affects licensing and INPS contribution categories.

The standard national IRAP rate is 3.9%. Italian regions may adjust this rate by up to 0.92 percentage points, and regions under health-deficit recovery plans apply further increases, so 2026 ordinary rates range from 2.68% to 4.97%. For 2026, Tuscany applies the 3.9% standard rate for general companies.

Italian law requires the sole director (amministratore unico) or managing director (amministratore delegato) of an SRL, or the chair of the board if there is no managing director, to register a personal PEC (certified email) address with the Registro delle Imprese, different from the company's own PEC. Under Art. 13 of D.L. 159/2025 (in force from 31 October 2025), the PEC is given with the registration application when the company is formed or the appointment is made or renewed; companies already registered had until 31 December 2025. This applies to all SRLs registered in Florence and Italy-wide.

Yes. A foreign legal entity can be a shareholder (quota holder) in an Italian SRL, subject to reciprocity rules (Art. 16 Preleggi) for non-EU entities. The beneficial-ownership (UBO) register rules were upheld by the EU Court of Justice on 21 May 2026, but the communication obligation remains suspended pending the Council of State; voluntary communications are accepted.
